These terms are a working template for Sopifo’s marketplace in Bangladesh. Have a Bangladesh-qualified lawyer review them before relying on them as final legal terms.

1. Who we are

Sopifo (“we”, “us”, “platform”) operates an online marketplace and optional paid storefront service for Facebook-based sellers in Bangladesh. Our registered contact for notices is the support email published on the platform.

We connect buyers and sellers. Unless we clearly say otherwise in writing, we are an intermediary platform — not the seller of goods listed by independent shops.

2. Eligibility and accounts

You must be at least 18 years old and able to enter a binding contract under the laws of Bangladesh to create an account or sell on Sopifo.

You are responsible for keeping your login credentials secure and for all activity under your account. Provide accurate contact, delivery and business information.

3. Free shop pages and paid storefronts

A free shop page is a directory listing and profile. A paid storefront (when enabled under an active subscription) may include cart, checkout and related commerce tools.

Subscription fees, billing periods and features are shown on the pricing / billing screens. Manual mobile-banking payments may require verification before a storefront is activated.

4. Seller obligations

Sellers must describe products truthfully (including price, stock, condition and delivery expectations), fulfil confirmed orders promptly, and comply with applicable Bangladesh laws — including consumer protection, advertising and product-safety rules.

Sellers are responsible for collecting, declaring and paying any taxes, VAT or other government charges that apply to their sales.

Sellers must not list illegal, counterfeit, hazardous or prohibited items, or content that infringes another person’s rights.

5. Buyer obligations

Buyers must provide a reachable phone number and accurate delivery address. For Cash on Delivery (COD), the buyer agrees to pay the order total on delivery unless the order is lawfully cancelled under the shop’s published policy.

For bKash, Nagad or other prepaid methods shown at checkout, the buyer must only submit a genuine transaction ID for that order.

6. Orders, payment and delivery

Contracts for the sale of goods are primarily between the buyer and the seller. Delivery times, shipping fees and courier choice are set by the seller unless we state otherwise.

COD is common in Bangladesh; prepaid methods may also be offered. Payment confirmation for prepaid methods may be manual until automated verification is available.

Title and risk in goods generally pass according to the seller’s fulfilment terms and applicable law once goods are delivered or handed to the courier, subject to consumer rights that cannot be waived.

7. Trust score, reviews and content

Platform reviews, ratings and trust scores are based on activity recorded on Sopifo. They are informational and may change as orders and reviews update. Manipulation (fake reviews, self-orders to inflate scores) is prohibited and may lead to removal or suspension.

You grant us a non-exclusive licence to host and display content you upload (product photos, descriptions, shop branding) for operating and promoting the platform.

8. Prohibited use and enforcement

You may not misuse the platform, attempt unauthorised access, scrape data at scale without permission, harass users, or use Sopifo for fraud.

We may suspend or terminate accounts, remove listings, disable storefronts, or refuse service where we reasonably believe these terms or the law have been broken, or to protect buyers, sellers or the platform.

9. Disputes between buyers and sellers

Buyers and sellers should first try to resolve issues directly (wrong item, delay, quality). Sellers should honour published return/refund policies where applicable.

Sopifo may, at its discretion, help facilitate communication or review reports. We are not a court or arbitration body and may not reverse prepaid payments held by a seller’s personal wallet.

Nothing in these terms limits rights you may have under Bangladesh consumer protection law that cannot be excluded by contract.

10. Platform liability

To the fullest extent permitted by Bangladesh law, we are not liable for seller product quality, courier loss after handover by the seller, or disputes arising solely between buyers and sellers.

We do not guarantee uninterrupted uptime. Where liability cannot be excluded, our aggregate liability related to the platform in any 12-month period is limited to the fees you paid us for storefront subscription in that period (or BDT 5,000 if you paid no fees), except in cases of fraud or wilful misconduct by us.

11. Governing law

These terms are governed by the laws of Bangladesh. Courts in Dhaka (or another competent Bangladesh court) shall have jurisdiction, without prejudice to mandatory consumer venue rights.

12. Changes

We may update these terms. Material changes will be posted on this page with an updated date. Continued use after changes take effect means you accept the revised terms.
